180 Sites Monthly Care Plan Agreement


Introduction
We’ll always do our best to fulfill your needs and meet your expectations, but it’s important to have things written down so that we both know what’s what, who should do what, when, and what will happen if something goes wrong. In this contract, you won’t find any complicated legal terms or long passages of unreadable text. We’ve no desire to trick you into signing something that you might later regret. What we do want is what’s best for both parties, now and in the future.

In a Nutshell
You are hiring 180 sites to provide monthly website management. We will provide this service for you for as long as you wish, and we would love to serve your company for many years. If you do intend to cancel your monthly site management, you may do so at any time. We do require a 30-day notice if you do intend to cancel; this way, we have sufficient time to offload your website and deliver your website to your team to be uploaded onto your own hosting. If you cancel without a 30-day notice, your website may go down prematurely before we are able to transfer all of your website files over to you. 

What Will be Included in the Monthly Maintenance
Premium web hosting, security certificates (https), 3rd party daily backups, uptime monitoring (15 min interval), daily security checks, daily performance checks, plugin updates, theme updates, WordPress updates, unlimited content edits, unlimited support available when you need it! 

Tech Support
You can request updates to your website anytime by visiting your account and navigating to the support area, or you may visit 180sites.com/update/. If you are, for any reason experiencing difficulties with your website, you may reach out to us at suppor@180sites.com. All tech support needed to keep your website running smoothly is included for free at no extra cost. We will respond to your email in a timely manner, please allow up to 2 business days for us to address any technical difficulties.

Communication
Any communication with 180 Sites must be via email. We will not accept any other form of communication. If you have a sensitive matter that requires a phone call, you may schedule a call by going to 180sites.com/client-call/. All update requests must go through 180sites.com/update/. Please do not send in update requests via email.

Legalities
We’ll carry out our work in accordance with good industry practice and at the standard expected from a qualified person with relevant experience. That said, we can’t guarantee that our work will be error-free, and so we can’t be liable to you or any third party for damages, including lost profits, lost savings, or other incidental, consequential, or special damages, even if you’ve advised us of them. 

Payment Schedule
We’re sure you understand how important it is as a small business that you keep up on your automatic billing. Your credit card will be billed monthly for the amount agreed upon once per month on a month-to-month basis. 

Late Payments 
We understand you may have a late payment due to insufficient funds or an expired credit card, we understand this and will email you reminding you that your payment was missed. Any payments that are 30 days past due will incur a $50 late fee.  

Delinquent Payments
If you are delinquent for more than one month in your billing, your website will be automatically frozen.

Fair Use
We do not put limits on our free features such as Email notification, SMS notification, and CRM automation; that being said, we do invoke a fair use policy for these free services. If your website requires more than 300 SMS notifications or 300 CRM automation runs per month, your website thus requires enterprise-level service. We will scope out your needs and determine a fair price to provide these services at such a high level of expenditure.

Client Understanding
The client understands and acknowledges that a website alone will not produce any guaranteed online traffic or lead generation. The client understands and acknowledges that in order to produce traffic and leads from their website, they will need to perform marketing services to bolster the website’s visibility and attract more visitors to it. Such marketing can include Google Ads, Facebook Ads, Google My Business listings, social media engagement, flyers, yard signs, EDDM (every door direct mail), radio ads, TV ads, and the like. If the client needs advice or direction on how to market their business, 180 Sites will give recommendations to the client and, if applicable to their industry, make particular recommendations for service providers who may assist them in their marketing efforts.

Privacy Policies and Terms and Conditions
180 Sites is not responsible for your privacy policies and terms and conditions related to your website. We will assist you in putting any privacy policy information or terms and conditions information on your website for free. However, you, the customer, are responsible for knowing and following the privacy laws of your country, state, and local municipality. You must send us your specific privacy policy and terms and conditions in writing to support@180sites.com, and we will place your policies and terms on your website for you. You are responsible for updating your privacy policy and terms and conditions as your business operations change or as your local laws change. We will assist you in updating your policies and terms at any time; you must send all updates to your policies and terms in writing to support@180sites.com whenever an update is required.

Governing Law/ Forum
This Agreement shall be construed in accordance with the internal laws of the State of California, without regard to conflict of laws rules. The venue shall be in a court of competent jurisdiction in the State of California, Riverside County, and both parties expressly consent to jurisdiction in such courts.

We Reserve the Right to Refuse Service to Anyone
We reserve the right to at any time sever our contract with any client for any reason we deem reasonable. This is extremely rare, but in the event that our company decides that it is not fruitful for either party to remain in contract with each other, we reserve the right to break that contract. If we do decide to end our agreement, we will cancel your billing and then package up the website files and deliver them over to you to host and manage thereafter (assuming your website is already fully paid off).

Attorney Fees
In any legal action between the parties concerning this Agreement, the prevailing party shall be entitled to recover reasonable attorney’s fees and costs.

Indemnity
Each party agrees to defend, indemnify, and hold harmless the other party and its officers, directors, agents, affiliates, distributors, representatives, and employees from any and all third-party claims, demands, liabilities, costs, and expenses, including reasonable attorney’s fees, costs and expenses resulting from the indemnifying party’s material breach of any duty, representation, or warranty under this Agreement.

Severability
If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the remaining portions of this Agreement shall remain in full force and effect and construed so as to best effectuate the original intent and purpose of this Agreement.

The Dotted Line
By signing this contract, you agree to the terms and conditions outlined by 180 sites and agree to fulfill any and all payments enclosed in this document.
